Terms & Conditions

Introduction
These Terms and Conditions (“Agreement”) are entered into by and between Grit Focus Media, a trade name of Grit Focus Inc., a corporation incorporated in the State of California(“Company”), and the client (“Client”).
By engaging the services of the Company, the Client agrees to be bound by these Terms and Conditions.
Website Use
You agree to use this website only for lawful purposes and in a manner that does not infringe upon the rights of others or restrict their use and enjoyment of the website.
You agree not to:
- Use the website for unlawful activities
- Attempt unauthorized access to website systems
- Introduce malicious code or software
- Interfere with website functionality
- Copy or distribute website content without permission
- Use automated systems to scrape or harvest website data
We reserve the right to restrict or terminate access to users who violate these terms.
Services
Grit Focus Media provides digital marketing and business growth services including but not limited to:
- Search Engine Optimization (SEO)
- Paid Advertising (Meta Platforms, Google Ads, and related networks)
- Lead Generation and Funnel Development
- Revenue Marketing and Conversion Optimization
- Email Marketing and Lifecycle Automation
- UI/UX Design and Web Experience Optimization
- Graphic and Creative Design Services
- Business Consulting and Strategic Advisory Services
All services are delivered based on a defined scope of work outlined in a proposal, statement of work, invoice, or written agreement between the Company and the Client. Scope, deliverables, timelines, and pricing may vary per engagement.
The Company reserves the right to accept or decline any project or client at its sole discretion.
No Guarantee of Results
The Client acknowledges and agrees that the Company does not guarantee any specific business outcomes, including but not limited to sales, revenue, lead volume, conversion rates, return on investment (ROI), or advertising performance.
Marketing results are influenced by multiple external factors including market conditions, platform algorithms, competition, pricing, product-market fit, and Client execution.
All services are provided on a best-efforts basis.
Client Responsibilities
Clients agree to:
- Provide accurate information
- Respond to requests in a timely manner
- Provide access to required platforms and accounts
- Supply necessary content and assets when requested
- Review and approve deliverables promptly
- Comply with applicable laws and regulations
Project delays resulting from client inaction may affect timelines and deliverables.
Fees and Payment
All fees are outlined in a separate proposal, invoice, or written agreement between the Company and the Client.
Unless otherwise agreed in writing:
- Payments are due in full prior to commencement of services or on agreed billing cycles
- Fees may be structured as retainers, project fees, or performance-based agreements
- All payments are non-refundable once work has commenced
- Failure to make payment may result in suspension or termination of services
The Company reserves the right to adjust pricing for future services or engagements.
Revenue-Based and Performance Agreements
Where applicable, certain engagements may include revenue-based or performance-linked compensation models. These structures will be defined in a separate written agreement.
The Company is not responsible for Client revenue reporting accuracy. Any revenue-share calculations will be based on mutually agreed reporting systems or documentation.
Refund Policy
Due to the nature of digital marketing and service-based work, all fees are non-refundable once services have been initiated, unless otherwise agreed in writing.
Termination
Either party may terminate services with written notice as outlined in the applicable agreement or proposal.
Upon termination:
- All outstanding invoices remain payable
- Work completed up to the termination date remains billable
- Access to systems, campaigns, or deliverables may be revoked upon termination
Intellectual Property
Upon full payment, the Client receives rights to final deliverables specifically created for them under the agreed scope.
The Company retains the right to use non-confidential work for portfolio, case studies, or marketing purposes unless otherwise agreed in writing.
Pre-existing materials, frameworks, and methodologies used by the Company remain the intellectual property of the Company.
Limitation of Liability
To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, or special damages, including loss of revenue, profits, or business opportunities.
The Company’s total liability under any engagement shall not exceed the total fees paid by the Client for the services provided in the preceding three (3) months.
Third-Party Platforms
The Client acknowledges that services may rely on third-party platforms including but not limited to Meta, Google, email providers, and hosting platforms.
The Company is not responsible for:
- Account suspensions or bans
- Changes in platform policies or algorithms
- Technical failures or outages of third-party systems
Confidentiality
Both parties agree to maintain confidentiality regarding any non-public business, financial, or operational information shared during the engagement.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
Amendments
The Company reserves the right to update or modify these Terms at any time. Continued use of services constitutes acceptance of any updated Terms.
Entire Agreement
These Terms, together with any proposal, invoice, or written agreement, constitute the entire agreement between the Company and the Client.
