Introduction

These Terms and Conditions (“Agreement”) are entered into by and between Grit Focus Media, a trade name of Grit Focus Inc., a corporation incorporated in the State of California(“Company”), and the client (“Client”).

By engaging the services of the Company, the Client agrees to be bound by these Terms and Conditions.

These Terms & Conditions (“Terms”) govern the purchase and use of services provided by Grit and Focus Inc., operating as Grit Focus Media (“Grit Focus Media,” “Agency,” “we,” “us,” or “our”).

By purchasing services, entering into a Statement of Work (“SOW”), accepting a proposal, or otherwise engaging Grit Focus Media, the client (“Client,” “you,” or “your”) agrees to these Terms.

1. Services

Grit Focus Media provides professional digital marketing, creative, consulting, website, technology, analytics, and business growth-related services.

Services may include, but are not limited to:

  • Search Engine Optimization (SEO)

  • Local SEO

  • Website optimization

  • Website audits

  • Site speed audits

  • Website design and development

  • Conversion Rate Optimization (CRO)

  • User Interface (UI) and User Experience (UX) improvements

  • Google Ads management

  • Meta Ads management

  • Paid media strategy and campaign management

  • Marketing strategy

  • Revenue marketing and optimization

  • Email marketing and automation

  • Email campaign development

  • Content strategy

  • SEO blog content

  • Social media creative content

  • Promotional creatives

  • Product renders

  • Brand and graphic design

  • Audio and sound identity

  • Analytics and tracking implementation

  • Marketing technology integrations

  • Reporting and performance analysis

  • Strategic consulting

The exact scope, deliverables, pricing, timelines, and responsibilities for a Client may be further defined within a proposal, order, Service Agreement, or Statement of Work.

2. No Lead Generation or CPA Services

Grit Focus Media does not provide or sell lead generation services, customer acquisition services, lists of prospective customers, or leads on a cost-per-lead basis.

Grit Focus Media also does not provide services where compensation is calculated on a cost-per-acquisition (“CPA”), cost-per-action, cost-per-lead (“CPL”), pay-per-lead, or similar lead or customer acquisition model.

Where Grit Focus Media manages advertising, SEO, email marketing, website optimization, CRO, or other marketing activities, the service being purchased is the professional strategy, management, creative, technical, consulting, or optimization work performed by the Agency.

Clients are not purchasing a guaranteed number of leads, customers, sales, conversions, acquisitions, or other business outcomes.

3. No Guarantee of Results

Marketing and business performance depend on numerous factors outside of Grit Focus Media’s control.

While we use commercially reasonable efforts, professional experience, available data, and industry practices in performing our services, we do not guarantee:

  • Specific sales or revenue;

  • Specific return on advertising spend;

  • Search engine rankings;

  • Website traffic levels;

  • Conversion rates;

  • Advertising performance;

  • Customer purchases;

  • Business profitability; or

  • Any other specific financial or commercial result.

Historical results, forecasts, estimates, projections, case studies, or examples are provided for informational purposes and do not guarantee future performance.

4. Orders and Service Engagements

Services may be purchased individually, through a monthly service plan, or through a customized engagement.

An order or engagement may be confirmed through an accepted proposal, online purchase, invoice payment, signed Service Agreement, Statement of Work, or other written authorization accepted by Grit Focus Media.

Custom engagements may require a separate SOW identifying the applicable services, deliverables, fees, timelines, and responsibilities of each Party.

5. Pricing and Payment

Pricing will be displayed at the time of purchase or provided through a proposal, invoice, Service Agreement, or SOW.

Unless otherwise stated, payment is due according to the payment schedule provided at the time of purchase.

Pricing may vary depending on project scope, complexity, requested turnaround time, required resources, revisions, and technical requirements.

Additional services or work outside the agreed scope may require additional fees and Client approval.

Package Plan

Starter Plan – $600

A monthly marketing engagement focused on improving online visibility and digital performance through our optimization, strategy, and marketing support.

Services Include:
  • Single platform management
  • Basic audience targeting
  • Monthly performance reporting
  • Standard A/B testing
  • Email support

    Estimated Delivery Timeline: One-time service with delivery completed within the estimated timeframe. Additional work or future services must be purchased separately.


Professional Plan – $1000
Advanced strategies and multi-channel management to rapidly scale your revenue

Services May Include:
  • Multi-platform management
  • Advanced retargeting flows
  • Continuous A/B testing
  • Custom landing page advice
  • Bi-weekly strategy calls
  • Priority support

    Estimated Delivery Timeline: One-time service with delivery completed within the estimated timeframe. Additional work or future services must be purchased separately.


Enterprise – $1500
Full-scale strategy and omni-channel execution for established, high-volume brands.

Services May Include:
  • Omni-channel management
  • Custom BI reporting dashboard
  • Weekly executive reviews
  • Direct Slack channel access
  • 24/7 Priority support
  • Performance analysis
  • Business growth consulting
Estimated Delivery Timeline: One-time service with delivery completed within the estimated timeframe. Additional work or future services must be purchased separately.


Single Purchases

Site Speed Audit – $25 per page
Website performance analysis identifying speed issues, optimization opportunities, and recommended improvements to improve loading times and user experience.

Estimated Delivery Timeline: 3–5 business days

Product Renders – $30 per product
Professional product visualization and rendered images created for digital marketing, ecommerce listings, advertising, and promotional use.

Estimated Delivery Timeline: 3–7 business days

Audio Sound Identity – $45 per clip
Custom audio assets designed to support brand identity, digital content, advertisements, and marketing materials.

Estimated Delivery Timeline: 3–7 business days

Promotional Creatives – $50 per creative

Custom promotional graphics and digital advertising assets created for campaigns, offers, products, and brand promotions.

Estimated Delivery Timeline: 3–5 business days

Website Audit – $100 per page
Website review covering design, user experience, functionality, performance, and optimization opportunities with actionable recommendations.

Estimated Delivery Timeline: 5–10 business days

Social Media Post – $135 per post
Custom-designed social media content including visual assets and supporting creative direction for brand engagement and promotional purposes.

Estimated Delivery Timeline: 3–7 business days

SEO Blog Post – $200 per post
Search-engine-focused written content developed around targeted keywords, audience intent, and organic growth objectives.

Estimated Delivery Timeline: 5–10 business days

Email Campaign – $225 per campaign

Strategic email campaign development including copywriting, design, layout, and campaign preparation for customer communication and marketing purposes.

Estimated Delivery Timeline: 5–10 business days

Email Flow Setup – $350 per flow
Automated email workflow setup including strategy, customer journey mapping, email creation, automation configuration, and optimization recommendations.

Estimated Delivery Timeline: 7–14 business days

6. Monthly Services

Monthly service plans are one-time professional service engagements performed throughout each applicable purchase.

Services may be delivered throughout the month through weekly deliverables, optimization work, strategy updates, creative work, reporting, technical changes, recommendations, or other activities included within the Client’s selected plan.

Monthly services do not represent the purchase of a guaranteed quantity of customers, leads, sales, conversions, or acquisitions.

Specific monthly deliverables may be identified in the applicable SOW or Service Agreement.

7. Delivery and Turnaround Times

Estimated delivery times may be provided for individual services, projects, and monthly engagements.

Unless expressly stated otherwise in writing, delivery dates are estimates and not guaranteed deadlines.

Delivery may be affected by:

  • Project scope and complexity;

  • Client response times;

  • Required approvals;

  • Availability of Client materials;

  • Website or platform access;

  • Third-party platforms;

  • Technical requirements;

  • Requested revisions; or

  • Circumstances reasonably outside of Grit Focus Media’s control.

Client delays may result in corresponding extensions to delivery timelines.

8. Client Responsibilities

Client agrees to provide accurate information and reasonable cooperation necessary for Grit Focus Media to perform the Services.

This may include providing timely access to websites, advertising accounts, analytics platforms, email platforms, brand assets, content, technical systems, approvals, and other necessary resources.

Client is responsible for reviewing deliverables and providing feedback or approval within a reasonable period.

Client represents that it has the necessary rights and authorization to provide any materials, accounts, data, intellectual property, or other information supplied to Grit Focus Media.

9. Advertising Services

Where Grit Focus Media provides Google Ads, Meta Ads, or other paid media management, Client acknowledges that advertising platforms are independent third parties.

Advertising spend paid to advertising platforms is separate from Grit Focus Media’s professional service fees unless expressly stated otherwise.

Grit Focus Media cannot guarantee platform approval, account availability, advertising costs, impressions, clicks, conversions, sales, or other advertising outcomes.

Client remains responsible for the legality and accuracy of its products, services, offers, claims, and underlying business activities.

10. Third-Party Services and Platforms

Our Services may involve third-party platforms, software, hosting providers, advertising networks, analytics providers, email platforms, plugins, applications, or other technology providers.

Grit Focus Media does not control these third parties and is not responsible for outages, policy changes, suspensions, technical failures, pricing changes, data loss, or other actions attributable to third-party providers.

Third-party fees may be charged separately from Agency fees.

11. Revisions and Changes in Scope

Reasonable revisions may be included depending on the service purchased or applicable SOW.

Requests that materially change the original scope, specifications, strategy, or deliverable may be considered additional work and may require additional fees.

Grit Focus Media will communicate material scope changes before proceeding with additional billable work.

12. Refunds and Cancellations

Grit Focus Media maintains a 30-day refund policy.

Clients may request a refund within 30 calendar days of the applicable purchase or payment, subject to the amount of work already completed, deliverables provided, third-party expenses incurred, and the terms of our Refund Policy.

If a Client is reasonably unsatisfied with a completed service or deliverable, the Client may request a refund within 10 calendar days following delivery.

Where appropriate, Grit Focus Media may offer a correction, revision, replacement, partial refund, or full refund depending on the circumstances.

Monthly services may be cancelled in accordance with the applicable Service Agreement or SOW. Cancellation does not automatically require the refund of work already completed during the applicable billing period.

Approved refunds will generally be returned to the original payment method.

The separate Grit Focus Media Refund Policy provides additional terms governing refund eligibility and processing.

13. Intellectual Property

Unless otherwise specified in writing, Client will receive rights to final custom deliverables created specifically for Client after all applicable fees for those deliverables have been paid.

Grit Focus Media retains ownership of its pre-existing intellectual property, processes, methodologies, templates, systems, know-how, internal tools, reusable components, and other materials developed independently of the Client engagement.

Third-party intellectual property remains subject to the applicable third-party license terms.

14. Confidentiality

Each Party agrees to use reasonable measures to protect confidential business information received from the other Party and to use such information only as reasonably necessary in connection with the Services.

Confidential information does not include information that is publicly available, independently developed, lawfully obtained from another source, or required to be disclosed by law.

15. Acceptable Use

Client may not use Grit Focus Media’s Services to knowingly facilitate unlawful activity, fraud, deceptive business practices, infringement of third-party rights, or activities prohibited by applicable law.

Grit Focus Media may refuse, suspend, or terminate Services where continued performance would reasonably create legal, regulatory, security, reputational, or platform compliance concerns.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Grit Focus Media will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from the Services.

Grit Focus Media will not be responsible for lost profits, lost revenue, lost business opportunities, loss of data, advertising platform decisions, search engine changes, third-party service interruptions, or business outcomes outside of the Agency’s reasonable control.

To the extent permitted by applicable law, Grit Focus Media’s aggregate liability arising from a particular service engagement will not exceed the amount paid by Client to Grit Focus Media for the applicable Services giving rise to the claim.

17. Termination

Either Party may terminate an active service engagement according to the termination provisions contained within the applicable Service Agreement or SOW.

Grit Focus Media may suspend or terminate Services for non-payment, material breach of these Terms, unlawful activity, abusive conduct, misuse of Services, or circumstances that reasonably prevent the Agency from continuing the engagement.

Amounts owed for Services already performed remain payable following termination.

18. Privacy and Data

Grit Focus Media will handle personal information in accordance with its Privacy Policy and applicable data protection requirements.

Clients should not provide unnecessary sensitive personal information or payment card information to Grit Focus Media through email, messaging applications, project management systems, or other unsecured communication channels.

Payment transactions may be processed by independent third-party payment processors subject to their respective terms and privacy practices.

19. Changes to These Terms

Grit Focus Media may update these Terms periodically to reflect changes to its Services, business practices, legal requirements, or operational procedures.

The updated version will be posted with a revised “Last Updated” date. Material changes affecting an existing contracted engagement will be handled in accordance with the applicable Service Agreement or SOW and applicable law.

20. Governing Agreement

Where a Client has entered into a separate Master Service Agreement, Service Agreement, or Statement of Work with Grit Focus Media, that agreement may contain additional or different terms.

In the event of a direct conflict, the applicable signed agreement or Statement of Work will control to the extent of that conflict.
